Securities Law Alert Hostile Takeover Bid Blocked by Confidentiality Agreement, January 30, 2009
The January 19, 2009 decision of the Ontario Superior Court in Certicom Corp v. Research In Motion Limited enjoined the hostile takeover bid made by RIM for the shares of Certicom on the basis that RIM breached the provisions of two previously entered into confidentiality agreements by using information provided to RIM under those agreements to assess the desirability of making a hostile takeover bid.
